Eurochem
Holding B.V. (“Eurochem”) and Penta Chemikalien GmbH & Co. KG (“Penta”),
announce the conversion of their modus of co-operation. Eurochem will terminate
its shareholdership in Penta. From 1st Jan. 2010 on, Eurochem will continue as
a co-operation partner of Penta, yet without holding stakes at Penta
Chemikalien GmbH & Co. KG Eurochem is the holding company of the chemical
distribution companies operating under the brandname “Quaron” in the Netherlands, Belgium
and France.
Background Eurochem
Based in
Zwijndrecht, the Netherlands,
Eurochem is a group of companies distributing industrial chemicals in the Netherlands, Belgium
and France
under the “Quaron” brandname. In addition, the group exports chemicals to over
30 countries in the world. Eurochem’s activities include storage, breaking
bulk, dilution, blending and formulation of chemical products, packaging,
transport and technical support. Eurochem focuses primarily on the
consolidation and development of its position in her ‘home markets’ in the Netherlands, Belgium
and France.
Background Penta
Penta is a co-operative venture of European
medium-sized and independent chemical distributors. For more than 40 years
Penta has been supporting their shareholders to secure independence and
competitiveness with a broad range of services. The closely meshed network
offers the strength and commitment of an independent organisation. Furthermore,
due to its financial potency, comprehensible organisation with short decision
making process and the excellent positioning in the individual local markets
Penta is a preferred partner of the chemical producers in Europe.
Rationale
The world of
chemical distribution is changing fast, illustrated by M&A activities,
increased volumes through this channel to market and ever mounting legislation
(REACH, GHS). Against this background, Penta has developed further its strategy
and operates in future much closer together with its shareholders for certain
key products and the corresponding manufacturers. Both Eurochem and Penta agree
that they have a different focus on the purchase of key-products. In other
area’s like the purchases of non-key products, the protection of the
environment, legal matters, safety, new products and single sourcing projects
Eurochem and Penta will continue to cooperate.
Zoals u
Epenhuysen Chemie N.V. in Zwijndrecht.
Zoals u
wellicht ook weet heeft Solvadis Nederland B.V., voorheen Molen Chemie B.V.,
een boete gekregen. Solvadis Nederland B.V. is in Juni 2005 overgenomen door
Quaron Nederland N.V.
Quaron Wormerveer B.V., echter aansprakelijk.

14 November 2007
Quaron
Feed focuses on flexibility. From 1 December 2007 Quaron Feed will become an
independent distributor and producer of organic acid mixtures. The distribution
agreement with Kemira Chemsolutions will close from this date. Being an
independent distributor and producer, Quaron Feed is able to provide its

Sale of Quaron Cleaning Systems B.V.
13 August 2007
Eurochem
Holding B.V., majority shareholder of all subsidiaries of the Quaron Group
("Quaron Group"), and Quaron Cleaning Systems B.V. announce that as of 10
August 2007, Eurochem Holding B.V. has sold its shares in Quaron Cleaning
Systems to QCS Enterprise B.V. Until 10 August 2007, Quaron Cleaning Systems
has been a 100% subsidiary of Eurochem Holding B.V. QCS Enterprise B.V. is not
part of the Quaron Group but is an independent holding company.
Two years
ago, Quaron Cleaning Systems was formed through the merger of Relavit B.V. and
Apex Cleaning Products B.V. The integration of these two companies has been
completed and as a result, Quaron Cleaning Systems has become a powerful organisation
which will expand its position on a "stand-alone" basis. In this way, Quaron
Cleaning Systems can fully focus on its core-business: the development, sales
and marketing of cleaning and care products. The transaction perfectly fits
into the strategy of the Quaron Group, who will further focus on the
distribution of chemicals in its three home markets the Netherlands, Belgium
and France. In the future, Quaron Cleaning Systems and the Quaron Group will
continue to cooperate closely in the production area. The activities of Quaron
Cleaning Systems will be carried out under the existing name and logo.
Quaron and KLK-Oleo sign contract
10 August 2007
Quaron is proud to inform
you that KLK-Oleo has chosen Quaron as the exclusive agent of its products in
the Benelux and France. The contract was signed on 6 August 2007. KLK Oleo is a Malaysian producer of
fatty acids (PALMERA), fatty alcohols (PALMEROL), fatty amides (EBS-PALMOWAX
& alcohol amides (PALMOCOL), soap noodles (PALMOSALT), glycerine and food
esters. KLK Oleo is 9001:2000 certified and its products are Kosher and Halal
certified.
The
reason for KLK Oleo to develop a partnership with Quaron, is its excellent geographical
coverage and efficient blending and mixing installations. The fact that KLK-Oleo's interesting product range can
be combined with Quaron's product range perfectly, as Quaron is already active
in these different industries, is the reason Quaron has chosen KLK-Oleo as a
business partner. KLK-Oleo controls the entire production process from
raw materials (own plantations) to delivery at clients. In this way a
consistent quality can be guaranteed which is important for the product
portfolio.
According
to both Quaron and KLK-Oleo excelling in quality, service, safety and care for
the environment is regarded as the most important objective, which can be
concluded from the several certificates for management systems like ISO 9001
and the quality norm GMP+. Also, both organisations are actively involved in
the Responsible Care®-program.
For Quaron, the exclusive
distribution contract will include the sales and marketing of fatty acids (e.g.
Stearic acid, Oleic Acid and Palmitic Acid), fatty alcohols (e.g. Lauryl
Alcohol, Octyl Alcohol en Decyl Alcohol) and derivates.

Certification GMP+ 2006 Feed department
10 May 2007
On the 3rd of May the certification audit
took place at Quaron Zwijndrecht for the more extensive Quality Care system
GMP+ 2006. This audit was carried out by an independent external auditor DNV
Certification. The Feed department is proud to inform you that the Quality Care
system has been assessed positively by DNV Certification. As a result, the Feed
department received the GMP+ 2006 certificate, category B1 (Trade in and
production of compound feed, pre-mixes and additives). Without the cooperation
of all departments of Quaron, this would not have been made possible.
To
guarantee safety for feed product manufacturers, it has been determined that a
Good Manufacturing Process+ (GMP+) plan be in place at each critical link in
the production chain. The GMP plan contains information on how feed product
manufacturers can manage risks. An essential part of the GMP+ is a risk
assessment of the production process (HACCP) and more general management
principles, such as internal audits, and directorial evaluation of the system.
The production of a comprehensive risk assessment also includes the policies
and procedures in the Quality handbook.
Quaron values the "continuous improvement" of its
organization and will therefore continue improving its current activities.

Re-certification ISO 9001:2000 Quaron Zwijndrecht
21
February 2007
From 19 until 21 February the
three-yearly re-certification audit took place at Quaron Zwijndrecht which was
carried out by an independent external auditor: DNV Certification B.V. Preparations
for the re-certification of the management system ISO 9001:2000 were taken by
the organisation in time, the approval of the quality handbook was a first
successful step of this re-certification. The quality handbook contains the
foundation for all of Quaron's business processes. The emphasis in the
procedures and work instructions is on meeting the needs of customers - the
most important factor in Quaron's business. Another important focus is the
continuous improvement of Quaron's activities: measurement and analysis of
these results are of vital importance for the determination of process
improvements and the realisation of objectives. The continuous effort of our
employees resulted in the successful result of the re-certification audit of
the quality management system. Quaron can now use the ISO 9001:2000 certificate
until mid 2010. This means that all processes within the scope of the
certification, fulfil the requirements of the ISO 9001:2000 standard.
Quaron
values the "continuous improvement" of its organization and will therefore
continue improving its current activities.

Positive result ESADII for Quaron Netherlands and Quaron Belgium
29 June 2006
On 20th June
Quaron Netherlands (location Zwijndrecht) was assessed positively for ESADII. ESAD
stands for European Single Assessment Document and comprises an assessment
document aimed at suppliers. This document describes the way in which a
distributor fulfils the requirements of Responsible Care®. Quaron
Belgium (location Tournai/Doornik) has been approved ESADII before. Being
actively involved in the Responsible Care® programme is a
requirement of membership of the "Verbond van Handelaren in Chemische
Producten" (VHCP). The ESADII assessment shows the strengths and weaknesses of
an organisation. Also, the positive result of the ESAD II assessment shows how
Quaron puts first and foremost the continuous improvement of its organisation.
ESADII includes an extensive questionnaire on quality,
environment and safety. The questionnaire indicates the performance of
distributors of chemical products but also the way in which distributors are
able to fulfil the requirements of Responsible Care®. An independent
auditor, approved by ESAD, assesses the answers to the questions.
